Terms of Service

These Terms of Service (“Terms”) govern access to and use of EXOFORCE websites, applications, software, artificial-intelligence services, games, APIs, research systems, community services, downloadable materials, infrastructure, and other products or services that are operated by EXOFORCE or identify these Terms as applicable (collectively, the “Services”).

By accessing or using a Service, creating an account, submitting content, purchasing access, or otherwise using EXOFORCE, you agree to these Terms and any additional terms, rules, policies, licenses, or requirements applicable to that Service.

If you do not agree, do not use the Services.

EXOFORCE is operated by the EXOFORCE team (“EXOFORCE”, “we”, “us”, “our”).

1. Language

These Terms are written in English.

The English version is the controlling version. Any translation is provided for convenience unless EXOFORCE expressly states otherwise.

2. Scope and additional terms

These Terms are intended to apply broadly across EXOFORCE Services, including Services introduced after the date of these Terms.

A Service may have additional terms, licenses, rules, policies, notices, payment conditions, acceptable-use requirements, community rules, developer rules, research conditions, or other agreements (“Service Terms”).

Unless stated otherwise:

  • these Terms and the applicable Service Terms apply together;
  • Service Terms control to the extent of a direct conflict;
  • matters not addressed by Service Terms remain governed by these Terms.

EXOFORCE may determine which Services, features, accounts, systems, content, or activities fall within a particular set of Service Terms, subject to applicable law.

Third-party services remain subject to their own terms.

3. Eligibility

Unless a Service expressly states otherwise, the Services are intended only for persons who are at least 18 years old.

A particular Service may expressly permit younger users and may establish different age, consent, guardian, account, or access requirements.

If you are not legally capable of entering into these Terms on your own, you may use a Service only where that Service expressly permits it and all legally required permissions have been obtained.

EXOFORCE may require age, identity, authority, eligibility, payment, ownership, or other verification where reasonably necessary.

4. Access is permission, not a guarantee

Access to any Service is revocable.

Creating an account, purchasing something, receiving an invitation, being approved for access, contributing content, participating in research, or previously having access does not create a permanent right to:

  • an account;
  • a username;
  • a particular model;
  • a feature;
  • a server;
  • stored data;
  • progress;
  • content;
  • an API;
  • an integration;
  • continued compatibility;
  • continued pricing;
  • continued availability;
  • any particular form of the Service.

To the maximum extent permitted by applicable law, EXOFORCE may approve, refuse, limit, delay, suspend, revoke, terminate, modify, or condition access to the Services.

5. Accounts

You are responsible for maintaining the security of your account and credentials.

You must not:

  • provide materially false information where accurate information is required;
  • impersonate another person or entity;
  • share, sell, transfer, rent, or commercially exploit an account where prohibited;
  • obtain or use another person's credentials without authorization;
  • bypass account restrictions;
  • evade suspensions or bans;
  • create or use alternate accounts for abuse or circumvention.

EXOFORCE may treat activity performed through an authenticated account or credential as activity associated with that account unless circumstances reasonably indicate otherwise.

EXOFORCE may reclaim, rename, restrict, merge, separate, or otherwise manage accounts, identifiers, usernames, handles, or account records where necessary for operation, security, impersonation prevention, rights enforcement, migration, inactivity management, or other legitimate purposes.

6. EXOFORCE property

Except for rights expressly granted to you, EXOFORCE and its licensors retain all rights, title, and interests they possess in the Services and related materials.

This may include:

  • software;
  • source and object code;
  • models;
  • model weights;
  • architectures;
  • datasets owned or licensed by EXOFORCE;
  • research;
  • training systems;
  • prompts and system instructions;
  • APIs;
  • designs;
  • graphics;
  • audiovisual material;
  • documentation;
  • websites;
  • databases;
  • game systems;
  • worlds;
  • items;
  • currencies;
  • progression;
  • infrastructure;
  • branding;
  • names;
  • logos;
  • proprietary methods;
  • internal tools;
  • moderation and security systems;
  • analytics;
  • derived operational information.

No right is granted by implication merely because material is accessible, downloadable, inspectable, generated, transmitted, or visible to you.

7. Limited right to use the services

Subject to these Terms and applicable Service Terms, EXOFORCE grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for their intended purposes.

This right ends when your access ends.

Unless expressly permitted, this does not give you the right to copy, redistribute, sell, sublicense, extract, reproduce, decompile, reverse engineer, bypass, commercially exploit, or create competing services from protected EXOFORCE systems or materials.

Separate open-source or other licenses control materials expressly released under those licenses.

8. User content

“User Content” includes information or material that you submit, upload, transmit, generate, create, store, publish, communicate, or otherwise make available through a Service.

Unless applicable Service Terms state that ownership is transferred or another arrangement applies, you retain whatever ownership rights you otherwise possess in your User Content.

However, by providing User Content to a Service, you grant EXOFORCE, to the maximum extent permitted by applicable law, a worldwide, royalty-free, fully paid, sublicensable, transferable, non-exclusive, continuing license to:

  • receive;
  • host;
  • store;
  • cache;
  • copy;
  • reproduce;
  • process;
  • analyze;
  • index;
  • classify;
  • moderate;
  • review;
  • transmit;
  • distribute;
  • publish;
  • display;
  • perform;
  • adapt;
  • format;
  • translate;
  • modify;
  • create derivative material from;
  • archive;
  • preserve;
  • promote;
  • commercialize;
  • use for research;
  • use for analytics;
  • use for development and improvement;
  • use for safety and abuse detection;
  • use for machine-learning and artificial-intelligence purposes where applicable;
  • use for operation and administration of EXOFORCE;
  • otherwise use as reasonably connected with EXOFORCE and its Services.

This license may survive deletion of the original User Content and termination of your account where the content has already been distributed, published, incorporated, transformed, archived, processed, included in operational records, used in research or training, or where continued use or retention is otherwise permitted by applicable law.

Where legally permitted, you waive or agree not to assert rights that would prevent uses authorized by this section.

A particular Service may require assignment or transfer of specified intellectual-property rights. Any such transfer must be stated in the applicable Service Terms or submission conditions.

You represent that you possess the rights and permissions necessary to provide User Content and grant the rights described by the applicable terms.

9. Feedback

Suggestions, ideas, proposals, bug reports, recommendations, feature requests, concepts, comments, and other feedback provided to EXOFORCE may be used without restriction or compensation to you, to the maximum extent permitted by applicable law.

Providing an idea does not give you ownership of a later EXOFORCE feature, system, product, implementation, or development merely because it resembles that idea.

10. Artificial intelligence services

Some Services may generate, transform, classify, analyze, process, retrieve, or otherwise produce content using artificial-intelligence or machine-learning systems.

10.1 Inputs

As between you and EXOFORCE, you retain whatever rights you possess in material you submit as input.

You grant EXOFORCE the rights reasonably necessary or useful to receive, process, store, reproduce, transform, analyze, evaluate, moderate, transmit, and otherwise use those inputs under these Terms and the Privacy Policy.

Where applicable, those uses may include development, evaluation, benchmarking, research, safety work, fine-tuning, training, model improvement, dataset creation, and related processing.

10.2 Outputs

AI-generated content may have uncertain, limited, overlapping, or no intellectual-property protection.

EXOFORCE does not represent or warrant that:

  • an Output is copyrightable;
  • you own an Output;
  • EXOFORCE owns an Output;
  • an Output is unique;
  • another user will not receive identical or similar material;
  • an Output is non-infringing;
  • an Output is accurate or suitable for your intended use.

Subject to these Terms and third-party rights, EXOFORCE grants you a worldwide, non-exclusive, royalty-free permission to use Outputs generated for you to the extent EXOFORCE has rights necessary to grant that permission.

EXOFORCE retains all rights it may possess in Outputs, underlying systems, models, model behavior, system prompts, technologies, datasets, non-user-specific elements, and related intellectual property.

Nothing in these Terms transfers ownership of an EXOFORCE model, model weights, infrastructure, technology, or underlying system to you.

10.3 Responsibility for AI output

You are responsible for evaluating and deciding whether and how to use AI-generated material.

Outputs may be incorrect, incomplete, misleading, offensive, outdated, insecure, unsuitable, or legally problematic.

You are responsible for independently reviewing important Outputs before relying on, publishing, executing, deploying, distributing, or commercially using them.

To the maximum extent permitted by law, EXOFORCE is not responsible for decisions, actions, losses, claims, code execution, publications, transactions, or other consequences resulting from your reliance on AI Output.

10.4 Training and improvement

Unless an applicable Service or setting states otherwise, EXOFORCE may use interactions with AI Services, including inputs, outputs, feedback, usage information, tool activity, and related records, for development, evaluation, safety, research, training, fine-tuning, benchmarking, dataset preparation, and improvement of EXOFORCE or related systems.

Where EXOFORCE provides an opt-out control, the control applies prospectively according to the conditions shown with that control.

Unless expressly stated otherwise, an opt-out applies to new content submitted after the opt-out becomes effective.

It does not require EXOFORCE to identify, retrieve, remove, reconstruct, or exclude information already:

  • collected;
  • copied;
  • cached;
  • transformed;
  • tokenized;
  • embedded;
  • sampled;
  • derived;
  • de-identified;
  • aggregated;
  • selected for a dataset;
  • included in a dataset;
  • included in an evaluation corpus;
  • included in a benchmark;
  • included in a safety set;
  • moved into preprocessing;
  • moved into dataset preparation;
  • queued for training;
  • moved into a training or fine-tuning pipeline;
  • included in a training job;
  • used to train, fine-tune, evaluate, or modify a model;
  • incorporated into derived systems or artifacts,

except where applicable law expressly requires otherwise.

Deletion of a conversation or account does not require EXOFORCE to reverse training already conducted or reconstruct models, datasets, or derived systems.

10.5 Human review

Authorized persons may review content, including AI interactions, for purposes including:

  • quality;
  • research;
  • evaluation;
  • support;
  • moderation;
  • security;
  • abuse investigation;
  • model improvement;
  • debugging;
  • compliance;
  • enforcement.

A Service may offer controls limiting some forms of review. Unless expressly stated otherwise, EXOFORCE does not guarantee a universal right to disable human review.

11. Acceptable use

You may not use or attempt to use the Services to:

  • violate applicable law;
  • gain unauthorized access;
  • compromise accounts or credentials;
  • distribute malware;
  • conduct denial-of-service attacks;
  • damage or disrupt infrastructure;
  • evade access restrictions;
  • circumvent authentication or security systems;
  • manipulate or disable logging, billing, safety, moderation, or telemetry systems;
  • fraudulently obtain Services;
  • abuse payment systems;
  • impersonate others deceptively;
  • engage in scams or fraud;
  • intentionally interfere with other users;
  • misuse vulnerabilities or exploits;
  • use the Services in a way that creates unreasonable technical, legal, security, or operational risk.

EXOFORCE may maintain additional acceptable-use requirements for particular Services.

12. Automation, scraping, and APIs

Automated access is permitted only where authorized by EXOFORCE, an applicable Service, an approved API, or other applicable documentation.

Unless expressly permitted, you may not:

  • scrape the Services;
  • crawl restricted systems;
  • systematically extract protected data;
  • bypass rate limits;
  • automate account creation;
  • automate interaction through unsupported interfaces;
  • reproduce substantial portions of databases or Services;
  • use automated systems to evade restrictions.

EXOFORCE may tolerate particular automated activity without creating a continuing permission or waiving its right to restrict that activity later.

13. Security research

Unauthorized security testing is prohibited unless permitted by applicable law.

This includes unauthorized scanning, exploitation, bypass attempts, privilege escalation, credential testing, destructive testing, or interference with production systems.

EXOFORCE may establish a separate vulnerability-disclosure, research, bug-bounty, or safe-harbor program.

Permission under such a program applies only within the published or expressly authorized scope.

Discovery of a vulnerability does not itself authorize exploitation, persistence, access to unrelated information, destructive testing, public disclosure, or continued testing outside the authorized scope.

14. Moderation and enforcement

To the maximum extent permitted by applicable law, EXOFORCE may:

  • warn;
  • restrict;
  • mute;
  • rate-limit;
  • remove content;
  • disable functionality;
  • revoke permissions;
  • suspend;
  • terminate;
  • ban;
  • revoke purchases or benefits where permitted;
  • restrict devices or credentials;
  • block technical access;
  • preserve evidence;
  • investigate suspected abuse;
  • take other reasonably necessary protective action.

EXOFORCE may act with or without prior warning.

Serious conduct relating to one Service may result in restrictions across multiple or all EXOFORCE Services.

EXOFORCE is not required to provide:

  • evidence;
  • internal logs;
  • investigative methods;
  • security information;
  • detailed reasoning;
  • advance warning;
  • an appeal;
  • reconsideration;

unless required by applicable law or expressly promised by the applicable Service.

EXOFORCE may voluntarily review a decision without creating a contractual right to future review.

Failure to enforce a rule in one instance does not waive EXOFORCE's ability to enforce it later.

15. Third-party services

Services may depend on or interact with third-party systems.

Third parties may impose their own terms, licenses, privacy practices, restrictions, outages, account actions, or changes.

EXOFORCE is not responsible for third-party systems, providers, content, decisions, security incidents, availability, account restrictions, or other actions to the maximum extent permitted by law.

16. Paid services

EXOFORCE may offer subscriptions, usage-based services, credits, digital items, donations, supporter benefits, licenses, paid access, or other transactions.

Prices, billing periods, usage limits, renewal rules, taxes, and payment methods may vary by Service.

Unless otherwise expressly stated:

  • payments are non-refundable to the maximum extent permitted by law;
  • purchasing something does not create permanent ownership of a Service, account, feature, virtual item, model, capacity, or access right;
  • digital or virtual entitlements may be modified or withdrawn where permitted;
  • unused credits may be subject to expiration or other conditions;
  • pricing and plan structures may change prospectively;
  • EXOFORCE may correct pricing or billing errors;
  • fraudulent payments or abusive chargebacks may result in restrictions.

EXOFORCE may voluntarily issue a refund, credit, extension, replacement, or other accommodation without creating an obligation to do so again.

If a paid Service is discontinued, EXOFORCE may, subject to mandatory law and applicable Service Terms, choose an appropriate remedy such as:

  • migration;
  • replacement access;
  • substitute functionality;
  • credits;
  • account balance;
  • partial refund;
  • refund of an unused prepaid portion.

17. Service changes

EXOFORCE may modify, replace, restructure, rename, suspend, restrict, discontinue, migrate, reset, wipe, rebalance, or remove all or part of a Service.

This may include changing:

  • functionality;
  • interfaces;
  • APIs;
  • limits;
  • models;
  • model versions;
  • datasets;
  • features;
  • pricing;
  • plans;
  • currencies;
  • virtual items;
  • account systems;
  • infrastructure;
  • compatibility;
  • requirements;
  • integrations;
  • storage;
  • moderation systems;
  • availability.

EXOFORCE does not guarantee backwards compatibility or permanent availability of any particular feature unless expressly stated otherwise.

18. Experimental, research, preview, and beta services

A Service or feature identified as experimental, research, preview, alpha, beta, prototype, test, early access, unreleased, or similar may:

  • contain serious defects;
  • change without notice;
  • produce unreliable results;
  • lose data;
  • be discontinued;
  • have incomplete security;
  • have incomplete documentation;
  • behave unpredictably;
  • be unsuitable for production use.

Such Services are provided with reduced expectations of stability, continuity, accuracy, support, and availability to the maximum extent permitted by law.

19. Privacy and data

EXOFORCE's handling of personal information is described in the EXOFORCE Privacy Policy.

Use of a Service may necessarily involve collection, processing, storage, transmission, review, or generation of operational, technical, security, account, content, analytics, or other information.

20. No warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

EXOFORCE DISCLAIMS WARRANTIES, REPRESENTATIONS, CONDITIONS, AND GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING RELATING TO:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • COMPLETENESS;
  • SECURITY;
  • RELIABILITY;
  • AVAILABILITY;
  • QUALITY;
  • PERFORMANCE;
  • COMPATIBILITY;
  • RESULTS;
  • DATA PRESERVATION;
  • ERROR-FREE OPERATION;
  • CONTINUITY.

EXOFORCE does not guarantee that the Services will be uninterrupted, secure, accurate, available, preserved, compatible, or free from defects, exploits, harmful content, or data loss.

21. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXOFORCE AND ITS OPERATORS, CONTRIBUTORS, DEVELOPERS, MODERATORS, ADMINISTRATORS, CONTRACTORS, SERVICE PROVIDERS, AND RELATED PERSONS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OR FOR LOSS OF:

  • PROFITS;
  • REVENUE;
  • BUSINESS;
  • OPPORTUNITY;
  • GOODWILL;
  • DATA;
  • CONTENT;
  • ACCESS;
  • PROGRESS;
  • VIRTUAL ITEMS;
  • COMPUTING RESOURCES;
  • EXPECTED SAVINGS;

ARISING FROM OR RELATED TO THE SERVICES.

To the maximum extent permitted by applicable law, EXOFORCE is not liable for losses resulting from:

  • Service downtime;
  • account restrictions;
  • moderation;
  • termination;
  • data loss;
  • security incidents;
  • third-party conduct;
  • user conduct;
  • malicious software;
  • generated AI content;
  • reliance on AI Output;
  • model errors;
  • software bugs;
  • compatibility changes;
  • API changes;
  • discontinued features;
  • payment-provider actions;
  • unauthorized access;
  • external infrastructure failures.

Where liability cannot legally be excluded, EXOFORCE's aggregate liability will be limited to the lowest amount permitted by applicable law and, where legally enforceable, will not exceed the amount you paid directly to EXOFORCE for the affected Service during the twelve months preceding the event giving rise to liability.

For Services used without payment, liability is excluded to the maximum extent permitted by applicable law.

Nothing in these Terms excludes liability or rights that applicable law does not permit the parties to exclude.

22. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless EXOFORCE and its operators, administrators, developers, moderators, contributors, contractors, licensors, service providers, and related persons against claims, liabilities, damages, losses, costs, and expenses arising from or relating to:

  • your violation of these Terms;
  • your User Content;
  • your violation of law;
  • your infringement of third-party rights;
  • your misuse of the Services;
  • your account activity;
  • your unauthorized automation;
  • your security attacks;
  • your fraud;
  • your abuse of EXOFORCE infrastructure;
  • claims caused by your conduct toward another person.

23. Termination

You may stop using the Services at any time.

EXOFORCE may suspend or terminate access in accordance with these Terms.

Termination does not automatically require deletion of information, cancellation of surviving licenses, reversal of completed processing, reversal of AI training, or removal of records that EXOFORCE may lawfully retain.

Provisions that by their nature should survive termination remain effective, including provisions concerning:

  • intellectual property;
  • User Content licenses;
  • data;
  • AI training;
  • enforcement records;
  • disclaimers;
  • liability;
  • indemnification;
  • disputes;
  • payments already incurred;
  • general legal provisions.

24. Changes to these terms

EXOFORCE may update these Terms.

Notice may be provided through one or more appropriate channels, including the website, relevant Service, account interface, email, launcher, application, community channel, or other official communication method.

Unless applicable law or the notice states otherwise, continued use of the affected Services after updated Terms become effective constitutes acceptance of the updated Terms.

Where applicable law requires additional consent or another procedure, EXOFORCE will use that procedure.

If you do not agree to updated Terms, you must stop using the affected Services.

25. Assignment and restructuring

You may not assign or transfer your rights or obligations under these Terms without EXOFORCE's permission.

EXOFORCE may assign, transfer, delegate, restructure, or otherwise move rights, obligations, contracts, systems, data, or Services in connection with:

  • internal restructuring;
  • project restructuring;
  • a new operator;
  • an affiliate;
  • a successor;
  • asset transfers;
  • financing;
  • acquisition;
  • merger;
  • sale;
  • outsourcing;
  • infrastructure migration;

subject to applicable law.

26. General provisions

If part of these Terms is invalid, unlawful, or unenforceable, it will be interpreted, modified, or limited to the minimum extent necessary where permitted, and the remainder will continue in effect.

An unenforceable provision does not make the entire Terms unenforceable unless mandatory law requires that result.

Headings are for convenience only.

A failure or delay by EXOFORCE to exercise a right does not waive that right.

These Terms and applicable Service Terms constitute the agreement governing the relevant Service, except for rights that cannot legally be modified by contract.
